Seller Agreement

This Seller Agreement ("Agreement") is entered into by and between you ("Seller"), a registered business entity, and UASSET Store ("Platform," "we," or "us"), a digital assets marketplace operated by Hiraeth Digital.

1. Definitions

  • Seller: A registered business entity registered on the Platform to list and sell digital assets, initially limited to EU-based businesses, and subject to meeting seller eligibility criteria.
  • Platform: The UASSET Store marketplace accessible at https://uasset.store
  • Products: Digital assets listed by Sellers for sale on the Platform, including but not limited to Unreal Engine assets such as Blueprints, Plugins, and Environments.
  • Wallet: A virtual balance showing the Seller’s earnings from sales on the Platform.
  • Revenue Threshold: The total revenue a Seller must achieve in EUR to qualify for a reduced Platform Fee.
  • Platform Fee: The percentage of revenue retained by UASSET Store from each sale as specified in Section 5.
  • Buyer: Any individual or entity purchasing Products through the Platform.
  • Unreal Engine EULA and Terms: The End User License Agreement and associated terms and conditions from Epic Games governing the use of the Unreal Engine software.

2. Seller Obligations

2.1 Eligibility

To become a Seller, you must:

  • Be a registered business entity.
  • Be based in the European Union during the initial onboarding phase.
  • Be at least 18 years old or the age of majority in your jurisdiction.
  • Have the legal authority to enter into this Agreement.

Sellers agree to:

  • Submit Original and High-Quality Products
    • Ensure all Products submitted for review are original, of high quality, and complete.
    • Products must function as described, be free from errors or omissions, and adhere to the platform’s quality standards.
       
  • Comply with Intellectual Property Laws
    • Submit only Products that do not infringe upon any third-party intellectual property rights, including but not limited to copyrights, trademarks, patents, or trade secrets.
    • Sellers bear full responsibility for ensuring their submissions comply with applicable intellectual property laws.
       
  • Avoid Prohibited Content
    • Refrain from submitting Products containing prohibited content, including but not limited to:
      • Adult or explicit content.
      • Offensive materials, such as hate speech or discriminatory content.
      • Illegal content or materials that promote unlawful activities.
         
  • Include a Changelog for All Products
    • Utilize the platform’s tools to provide a detailed changelog for each Product, accessible at Edit Product Page > Changelogs > Add New Log.
    • The changelog must include the following:
      • Version: Clearly identify the version of the Product.
      • Logs: Provide precise and accurate descriptions of updates, modifications, or changes made.
         
  • Refrain from Submitting AI-Generated Content
    • Avoid submitting Products generated, in whole or in part, using AI or automated content-generation tools.
       
  • Update assets: Sellers are obligated to ensure their Products remain compatible with the latest stable versions of the Unreal Engine. Sellers must update their Products to the most recent stable engine version within a reasonable timeframe after Epic Games releases a new stable version.

2.4 Submission Process

Products submitted for listing will undergo review by the Platform’s review team to ensure compliance with quality and legal standards. Products failing to meet these standards will not be approved for listing.

2.5 Grant of License

By listing a Product, Sellers grant the Platform a non-exclusive, worldwide, royalty-free license to:

  • Host and display the Product on the Platform.
  • Use the Product’s name, description, and other materials for marketing and promotional purposes.

2.6 Indemnification

Sellers agree to indemnify and hold harmless the Platform from any claims, liabilities, or damages arising from:

  • Their breach of this Agreement;
  • The infringement or alleged infringement of any third-party intellectual property rights by their Products;
  • Any act or omission by the Seller that violates applicable laws or regulations;
  • Any claims, disputes, or damages arising from the Seller’s Products or conduct, whether intentional or negligent.

3. Platform Obligations

3.1 Hosting and Payment Processing

The Platform will:

  • Host approved Products on its marketplace.
  • Facilitate payment processing.

3.2 Vetting Process

The Platform will:

  • Review all submitted Products for originality, quality, and compliance with applicable laws and Unreal Engine EULA and Terms.
  • Reject Products that do not meet the required standards.

3.3 Dispute Mediation

The Platform will mediate disputes between Sellers and Buyers in good faith. Decisions made by the Platform regarding disputes are final and binding.

4. Prohibited Actions

Sellers must not:

  • Submit fraudulent, misleading, or illegal content.
  • Resell or redistribute Products that infringe on third-party intellectual property rights.
  • Attempt to manipulate sales or reviews.
  • Breach Unreal Engine EULA and Terms.

5. Fees and Payments

5.1 Platform Fee

The Platform retains a fee from each sale based on the following revenue tiers:

5.2 Payment Schedule

  • Funds from sales will be held in the Seller’s Wallet in EUR.
  • Sellers may request withdrawals once their Wallet balance exceeds €100 EUR.
  • Withdrawal requests are processed immediately, provided your account is in good standing.

5.3 Currency and Fees

  • All transactions and Wallet balances are denominated and calculated in EUR (Default Currency).
  • Sellers are responsible for any third-party fees charged by payment processors during withdrawal.

6. Violations and Termination

6.1 Violations

The Platform reserves the right to suspend or terminate a Seller’s account if they:

  • Violate this Agreement, the ToS, or EULA.
  • Submit infringing or prohibited content.
  • Engage in fraudulent or abusive behavior.
  • Breach Unreal Engine EULA and Terms.

6.2 Termination

  • Sellers may terminate their account at any time by providing written notice to the Platform.
  • Upon termination, any pending payments will be processed as per Section 5.

7. Governing Law and Dispute Resolution

7.1 Governing Law

This Agreement is governed by the laws of the Netherlands.

7.2 Dispute Resolution

Any disputes arising under this Agreement will be resolved exclusively in the courts of Amsterdam, Netherlands.

8. Amendments

The Platform reserves the right to amend this Agreement at any time. Sellers will be notified of material changes, and continued use of the Platform constitutes acceptance of the revised terms.

By registering as a Seller on the Platform, you acknowledge that you have read, understood, and agreed to this Seller Agreement.
