End-User License Agreement

This End-User License Agreement ("Agreement") is entered into between you ("User") and UASSET Store ("Platform," "we," or "us"), a digital assets marketplace operated by Hiraeth Digital. By accessing or using the Platform and purchasing or downloading any digital assets ("Products"), you agree to the terms and conditions set forth in this Agreement.

1. Definitions

  • User: Any individual or entity accessing the Platform to browse, purchase, or download Products.
  • Seller: A registered business entity registered on the Platform to list and sell Products.
  • Products: Digital assets listed on the Platform, including but not limited to Unreal Engine assets.
  • License: The usage rights granted to Users for purchased Products, as described in this Agreement.
  • Unreal Engine EULA and Terms: The End User License Agreement and associated terms and conditions from Epic Games governing the use of the Unreal Engine software.

2. Acceptance of Terms

By using the Platform, you acknowledge that you have read, understood, and agree to be bound by this Agreement, as well as:

  • The Platform’s Terms of Service.
  • Applicable Unreal Engine EULA and Terms for any Unreal Engine-related Products.

If you do not agree with these terms, you must not use the Platform or purchase/download Products.

3. License Grant and Restrictions

3.1 License Types

When purchasing a Product, you receive a non-exclusive, non-transferable license under the following terms:

  • Regular License: Permits use of the Product in a single project (use within one game title or application) for personal or commercial purposes.
  • Extended License: Permits use of the Product in unlimited projects (use within multiple game titles or applications) for personal or commercial purposes.

3.2 Prohibited Uses

Users are prohibited from:

  • Redistributing, reselling, or sublicensing the Product in any form.
  • Using the Product in a manner that violates applicable Unreal Engine EULA and Terms.
  • Creating derivative works intended for redistribution or sale.
  • Using the Product in a way that is directly competitive with the Platform.

3.3 Intellectual Property

All intellectual property rights in the Products remain with the Seller. Users may only use Products as explicitly permitted under the granted License.

4. Compliance with Unreal Engine EULA and Terms

Users agree to comply with all Unreal Engine EULA and Terms when using Products developed for Unreal Engine. This includes but is not limited to respecting Epic Games’ intellectual property rights, brand guidelines and licensing terms.

5. Purchases and Payments

5.1 Payment Processing

Payments are processed through third-party providers (e.g., Stripe). By completing a purchase, you agree to the payment terms of the respective provider.

5.2 Taxes

All purchases may be subject to applicable taxes, including VAT or sales taxes, as required by law. These taxes will be calculated and displayed during checkout.
The Platform complies with all relevant tax obligations under applicable laws, including the EU VAT directives.

6. Refunds, Cancellations, and Right of Withdrawal

6.1 EU Right of Withdrawal (For EU Customers)

If you are a consumer residing in the European Union (EU), you have the right to withdraw from your purchase of digital products within 14 days of the purchase date, according to the EU Consumer Rights Directive. This is often referred to as the "Right of Withdrawal" or "cooling-off period."

6.2 Exception for Downloadable Digital Products with Immediate Access & Waiver

Because our Products are downloadable digital assets that are made available for immediate access and download right after purchase, the EU Right of Withdrawal is waived for these purchases.

During the checkout process, you are required to confirm your agreement to immediate access and download by ticking a consent checkbox. By ticking this checkbox and completing your purchase, you expressly request and consent to immediate access to the Product, and you acknowledge that, as a result, you lose your Right of Withdrawal under EU law for this purchase. The Right of Withdrawal is therefore waived at the moment you complete your purchase by ticking the consent checkbox and proceeding with payment.

6.3 Our Refund Policy for Product Issues (Separate from Right of Withdrawal)

While the standard EU Right of Withdrawal does not apply to Products once downloaded and accessed with your consent, we are committed to product quality.

If you experience any technical issues that prevent you from using the Product as advertised, or if you believe the Product files are misrepresented or faulty, you may be eligible for a refund under our separate Product Issue Refund Policy.

6.4 Product Issue Refund Eligibility

Refund requests for product issues must be submitted within 14 days of purchase and are subject to approval. Refunds under this Product Issue Refund Policy are considered under exceptional circumstances and are not guaranteed. They are typically available when:

  • You encounter technical issues that demonstrably prevent you from using the Product as advertised.
  • The Product files are proven to be misrepresented or faulty from what was described.

Refunds are generally not provided if:

  • You simply change your mind after downloading and accessing the Product (this is due to the waiver of the EU Right of Withdrawal).
  • The Product functions substantially as described, even if it does not fully meet your subjective expectations.
  • The issue is due to your own technical limitations or misuse of the Product.

Approved refunds, under our Product Issue Refund Policy, will be credited to your UASSET Store account balance or original payment method at our discretion.

6.5 How to Request a Product Issue Refund

To request a refund based on a product issue, please submit a request through the Platform’s refund system within 14 days of purchase. You must provide:

  • Detailed documentation of the technical issue or misrepresentation.
  • Evidence to support your claim (e.g., screenshots, error messages, file comparisons).
  • Your order details.

We will review your request and may require further information to assess the issue. Our decision on Product Issue Refunds is final.

7. Support and Updates

7.1 Support

Sellers are responsible for providing support for their Products when applicable, as described in the Product listing. Users may contact Sellers directly via the Platform’s communication tools.

7.2 Updates

Sellers are encouraged to release updates to their Products to ensure compatibility with new Unreal Engine versions and address user feedback, at their discretion. Users with valid Licenses may access these updates through their account.

8. Termination of License

Your License to use a Product will terminate automatically if you:

  • Breach this Agreement or applicable Unreal Engine EULA and Terms.
  • Use the Product in violation of the granted License or applicable laws.

Upon termination, you must immediately cease all use of the Product and delete all copies in your possession.

9. Dispute Resolution and Governing Law

9.1 Governing Law

This Agreement is governed by the laws of the Netherlands.

9.2 Dispute Resolution

Any disputes arising under this Agreement will be resolved exclusively in the courts of Amsterdam, Netherlands.

10. Amendments

The Platform reserves the right to amend this Agreement at any time. Users will be notified of material changes, and continued use of the Platform constitutes acceptance of the revised terms.

11. Indemnification

Users agree to indemnify and hold harmless the Platform from any claims, liabilities, or damages arising from:

  • Their breach of this Agreement.
  • Their misuse of Products.

12. Free Item Policy

12.1 Free Item Availability

From time to time, Sellers may offer Products for free download ("Free Items") on the Platform. Free Items are available for download directly from the item page without checkout and are not added to the User's account library.

12.2 License for Free Items

When downloading a Free Item, the User is granted a non-exclusive, non-transferable license to use the Free Item in a single project for personal or commercial purposes, under the same conditions as a Regular License unless otherwise stated.

The Free Item License does not include technical support from the Seller or the Platform.

Users who require updates, continued access, or support for Free Items must purchase a paid License where available.

12.3 Restrictions on Free Items

Users must not:

  • Redistribute, resell, or sublicense Free Items in any form.
  • Use Free Items to create derivative works intended for redistribution or sale.
  • Use Free Items in any way that violates the Unreal Engine EULA and Terms or this Agreement.

12.4 Changes to Free Item Offerings

The Platform and Sellers reserve the right to modify, remove, or begin charging for previously free Products at any time.
Once downloaded, Free Items remain licensed under the terms at the time of download.

12.5 No Guarantee

The Platform does not guarantee that Free Items will remain available or will meet the User’s expectations. Free Items are provided "as-is," without warranties or guarantees of functionality or fitness for a particular purpose.
 

By purchasing or downloading Products from the Platform, you acknowledge that you have read, understood, and agreed to this End-User License Agreement.
